These Terms govern your access to and use of GE360 (ge360llc.com) (the “Service”). For anything in these Terms, contact us at support@ge360llc.com.

1. Acceptance of these Terms

By creating an account or using the Service you agree to these Terms and to our Privacy Policy, which forms part of them. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a contract. If you use the Service on behalf of a business, you confirm that you are authorised to bind that entity to these Terms.

3. Changes to these Terms

We may update these Terms from time to time. For material changes we will give reasonable advance notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

4. Accounts and Security

You are responsible for keeping your login credentials confidential and for all activity that takes place under your account. Accounts are personal and non-transferable. We may suspend or close an account used in breach of these Terms or for fraudulent activity.

5. Subscriptions, Fees and Refunds

Paid subscriptions do not renew automatically. Fees are generally non-refundable except where a refund is required by law. We may change prices; any change applies only to future purchases.

6. Licence and Restrictions

We grant you a limited, non-exclusive, non-transferable licence to use the Service for your own internal business purposes. You may not resell, redistribute, sub-licence, or otherwise make the Service or its data available to third parties.

7. Intellectual Property

The Service — including its software, design, and the compiled presentation of information — is owned by GE360 or its licensors. No rights are transferred to you other than the licence expressly granted in these Terms.

8. Acceptable Use

You may not: access the Service by automated means such as scraping, crawling, or bulk download; use the data to train machine-learning models; build a competing product; or use the Service for any unlawful purpose or in a way that infringes the rights of others.

9. Data Sources

The Service compiles information from publicly available Georgian sources, including official public records and registries (such as the National Agency of Public Registry, the Revenue Service, the business registry, and the enforcement register). GE360 is an independent service and is not affiliated with, or endorsed by, any government authority.

10. Information Disclaimer

Information may be incomplete, out of date, or contain errors present in the underlying sources. You are responsible for independently verifying any information before relying on it.

11. No Professional Advice

The Service provides general information only. It is NOT a consumer report and must not be used to make decisions about consumer credit, employment, insurance, or any other purpose regulated by consumer-reporting or similar law.

12. Warranty Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied, including as to accuracy, completeness, availability, or uninterrupted or error-free operation.

13. Limitation of Liability

To the fullest extent permitted by law, GE360 is not liable for any indirect, incidental, special, or consequential damages. Our total aggregate liability arising out of or relating to the Service is limited to the greater of USD 100 or the amounts you paid us in the 12 months before the event giving rise to the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless GE360 from any third-party claims, losses, and expenses arising out of your breach of these Terms or your violation of any law or third-party right.

15. Term, Suspension and Termination

You may close your account at any time. We may suspend or terminate access for breach of these Terms. Where we terminate without cause, we will refund any prepaid fees for the unused period on a pro-rata basis.

16. Data Controller Responsibility

If you export or otherwise process personal data obtained from the Service, you act as an independent data controller for that processing and are responsible for complying with applicable data-protection law.

17. Governing Law and Disputes

These Terms are governed by the laws of Georgia, and the courts of Georgia have jurisdiction over any dispute. Where you deal with us as a consumer, you keep the benefit of any mandatory protections and forum rights of your place of residence.

18. General

If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and us regarding the Service. You may not assign them without our consent; we may assign them to a successor. We may give you notice by email or by posting on the Service.
